About the Role
Our client, an innovative and rapidly scaling technology startup based in Omaha, Nebraska , is seeking a seasoned General Counsel to lead its legal and compliance functions. This is a unique opportunity to shape the legal strategy of a fast-growing company from its foundational stages. The General Counsel will oversee all legal matters, including corporate governance, intellectual property, contracts, employment law, fundraising, and regulatory compliance. This is a Hybrid role, offering flexibility with some required in-office presence at our Omaha headquarters, ensuring close collaboration with the executive team and key departments.
Key Responsibilities Provide strategic legal advice to the CEO, Board of Directors, and executive leadership team. Manage all aspects of corporate governance, including board meetings, shareholder communications, and compliance with corporate formalities. Oversee intellectual property strategy, including patent, trademark, and copyright protection. Draft, review, and negotiate a wide range of commercial agreements, including customer contracts, vendor agreements, and partnership agreements. Ensure compliance with all applicable federal, state, and local laws and regulations. Manage employment law matters, including policy development and dispute resolution. Lead fundraising efforts, including preparation of offering documents and negotiation of investment terms. Oversee data privacy and security compliance (e.g., GDPR, CCPA). Manage outside counsel relationships and budgets effectively. Develop and implement legal and compliance policies and procedures. Requirements Juris Doctor (J.D.) degree from an accredited law school. Admission to the Nebraska Bar in good standing, or eligible for admission. A minimum of 10 years of legal experience, with significant experience in corporate law, technology transactions, and intellectual property. Previous in-house counsel experience at a startup or technology company is highly preferred. Demonstrated experience advising on fundraising rounds (Series A, B, C, etc.). Strong understanding of IP law, contract law, employment law, and data privacy regulations. Excellent strategic thinking, problem-solving, and communication skills. Proven ability to manage multiple priorities and work effectively in a fast-paced, dynamic environment. Experience building and managing a legal department is a plus.
